Please read these terms carefully — they affect your legal rights and obligations.

These terms and conditions govern your use of the website at https://cesiumgroup.com/ (the "Site"), which is operated by Cesium Executive Group Limited (company number 07270838), trading as Cesium Group ("Cesium Group", "we" or "us"), and your relationship with us in connection with it. Please read them carefully, as they affect your legal rights and obligations. If you do not accept them, please do not use the Site. If you wish to engage Cesium Group's recruitment or executive search services, separate terms of business will apply.

1. Using the Site

1.1In these terms, "you" and "your" mean both the individual accessing or using the Site and, where relevant, the organisation on whose behalf they are acting.

1.2If you use the Site on behalf of your employer or another organisation, you confirm that you have authority to bind that organisation and that you accept these terms on its behalf.

1.3The Site is provided to help you understand our services and get in touch with us.

1.4The Site is made available for your use subject to these terms. By accessing or using it, you agree to be bound by them.

1.5If you cannot access all or part of the Site, please email info@cesiumgroup.com and we will try to help.

1.6We handle any personal data in accordance with our Privacy Policy.

2. Changes to these terms

We may revise these terms from time to time for legal or regulatory reasons, or to reflect changes to the Site. Please review them regularly so that you are aware of the terms that apply when you use the Site. We will take reasonable steps to notify registered users of significant changes, normally giving at least 30 days' notice, except where a change is required by law or for security reasons, in which case it may take effect sooner. If you continue to use the Site after a change takes effect, you accept the revised terms; if you do not accept them, you should stop using the Site.

3. Acceptable use

3.1You must not use the Site to:

  • post or distribute material that is unlawful, harassing, defamatory, abusive, threatening, harmful, obscene or otherwise objectionable, or that breaches any law;
  • transmit material that encourages criminal conduct, gives rise to civil liability, or otherwise breaches any applicable law, regulation or code of practice;
  • interfere with anyone else's use or enjoyment of the Site;
  • copy, reproduce or resell any part of the Site, except where these terms expressly allow it;
  • do anything that may damage, disrupt or interfere with the Site or the equipment, networks or software behind it;
  • use automated means to scrape, extract or harvest content or data from the Site for use elsewhere;
  • collect data from the Site or our systems, or attempt to intercept any transmission to or from our servers;
  • disassemble, decompile, reverse-engineer or create derivative works from any part of the Site, except as permitted by law;
  • send spam or unsolicited marketing through the Site; or
  • infringe our intellectual property rights or those of any third party.

3.2You are responsible for any losses or costs we incur as a result of your breach of this section.

3.3By submitting information through the Site, you acknowledge that, while we may respond, we are under no obligation to provide you with any particular product or service.

4. Disclaimer and limitation of liability

4.1While we take reasonable care to ensure the content on the Site is accurate, it is provided for general information only, and you should seek further guidance and make your own enquiries before relying on it. If we are told of any inaccuracies, we will try to correct them as soon as we reasonably can.

4.2Nothing in these terms excludes or limits our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot lawfully be excluded or limited.

4.3We are not responsible for the content of any third-party websites linked from the Site. Such links are not an endorsement, and we are not liable for any loss or damage arising from your use of them.

If you are a consumer

4.4If you are using the Site wholly or mainly outside your trade, business, craft or profession (a "consumer"), then, except as set out in clause 4.2, the following apply:

  • Nothing in these terms affects your statutory rights. You can obtain advice about these from Citizens Advice or your local Trading Standards office.
  • If we breach these terms, we are responsible for foreseeable loss or damage you suffer as a result, but not for loss that is unforeseeable or caused by events outside our reasonable control. Loss is foreseeable if it was an obvious consequence of our breach or was contemplated by both of us when you accessed the Site.
  • You agree not to use the Site for any commercial or business purpose, and we have no liability to you for any loss of profit, loss of business, business interruption or loss of business opportunity.
  • Our total liability to you in connection with these terms, whether in contract, tort (including negligence) or otherwise, is limited to £100.

If you are a business

4.5If you are using the Site for purposes relating to your trade, business, craft or profession, then, subject to clause 4.2:

  • we will not be liable to you for any loss of profits, revenue or contracts, failure to achieve anticipated savings, or any indirect or consequential loss, whether arising from negligence, breach of contract or otherwise;
  • our total liability to you in connection with these terms, whether in contract, tort (including negligence) or otherwise, is limited to £100; and
  • you will indemnify us against any losses, costs, liabilities and expenses that we or our affiliates suffer as a result of your breach of these terms.

5. No guarantees about roles or employers

We make no representation or warranty about the existence or availability of any role mentioned on the Site; whether any employer or client will request your CV, interview you or offer you a role; whether an employer or client will keep your information confidential; or the final terms or duration of any role obtained through the Site.

6. Availability of the Site

6.1We cannot guarantee that the Site will be free of faults. If you encounter one, please report it to info@cesiumgroup.com and we will try to fix it as soon as we reasonably can.

6.2Access to the Site may occasionally be restricted to allow for repairs, maintenance or the introduction of new features. We will try to restore access as soon as we reasonably can.

7. Intellectual property

All content on the Site is owned by or licensed to Cesium Group. You may view it on screen, store it electronically (other than on a server or other networked storage device), and print a single copy for your own personal, non-commercial use, provided you keep all copyright and proprietary notices intact. You may not otherwise reproduce, modify, copy, distribute or use any content for commercial purposes without our written permission.

8. Governing law and jurisdiction

8.1These terms are governed by the laws of England and Wales.

8.2We will try to resolve any dispute quickly and informally. If you wish to bring court proceedings, you must do so in the United Kingdom. If you are a consumer resident in the European Union, you may bring proceedings either in the UK or in the courts of your country of residence, and you will benefit from any mandatory protections of the law of that country.

9. General

9.1You may not transfer any of your rights under these terms to anyone else. We may transfer our rights to another business, provided this does not adversely affect your rights.

9.2If we do not enforce a right under these terms on any occasion, we may still do so later.

9.3Each clause of these terms operates separately. If any court or relevant authority decides that any clause is unlawful or unenforceable, the remaining clauses will continue in full force and effect.

9.4We are not responsible for any failure to comply with these terms caused by circumstances beyond our reasonable control.

9.5The Site is owned and operated by Cesium Executive Group Limited.
